Terms of service

Effective 29 September 2026.

A signed agreement wins. Where a pilot engagement has an order form or a master services agreement, that document governs and these terms fill only the gaps it leaves. This page is the default for anyone using the service without one.

1. The agreement

These terms are between TNENI Labs LLC, which operates VacantLoop (“we”), and the organization that opens a workspace (“you”). Using the service means accepting them. Where an individual accepts on behalf of an organization, they confirm they are authorised to do so.

2. What the service is

Software for office leasing operations: master inventory, demand capture, reviewable AI decision support, qualified opportunities, grounded reply drafts that a person on your team approves before sending, focused prospecting, lease-roll tracking, and outcome reporting.

Capabilities this website describes as not yet available are not part of the service until we tell you they are. Nothing on our marketing pages forms a commitment to deliver an unreleased capability by a date.

3. Your account

You are responsible for who you invite, for the roles you grant them, and for keeping credentials secure. Tell us promptly if you believe an account has been compromised. We may suspend an account where it is necessary to protect the service or another customer, and we will say why.

4. Your data is yours

You own your inventory, leads, conversations, broker records and uploaded files. You grant us only the permission needed to host, process and display that content in order to provide the service to you, including sending relevant content to our AI provider to produce summaries, matches, decision support and drafts, and using public business details for customer-requested prospect research. We do not use your content to answer another customer’s questions. You can export your data while your workspace is active, and on request when an engagement ends.

5. What you must not do

  • Upload content you have no right to use, or contact people in ways that break applicable law — CAN-SPAM, TCPA, state privacy statutes, and any equivalent where your recipients are.
  • Use the service to send bulk unsolicited messages, or to work a list you have no lawful basis to contact.
  • Attempt to reach another customer’s data, probe or disrupt the service, or circumvent a rate limit or an authorisation check. Good-faith security research reported to us is welcome and is not covered by this clause — see the security page.
  • Resell or provide the service to a third party as your own.

6. AI output, and who is responsible for it

The service drafts text. It does not send it: approval requires a signed-in person on your team, and there is no auto-send. A draft is a suggestion, it can be wrong, and once your team approves and sends a message, that message is yours. Nothing the service produces is legal, brokerage, tax or valuation advice, and commercial judgment on pricing, concessions and relationships stays with you.

7. Fees

Fees, term and payment schedule are set in the order form or pilot agreement for your engagement. Where none exists, the service is being provided at no charge and either party may stop at any time.

8. Term and termination

Either party may terminate for material breach that is not cured within thirty days of written notice. You may stop using the service at any time. On termination we will make your data available for export for thirty days and then delete it, unless the law requires us to keep it longer.

9. Availability

We work to keep the service available and we do not promise a specific uptime percentage unless an order form says so. We will give reasonable notice of planned maintenance that we expect to interrupt work.

10. Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the service is provided “as is” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of liability

Neither party is liable for indirect, incidental, special or consequential loss, or for lost profits or lost business opportunity. Each party’s total liability arising out of the agreement is limited to the fees paid or payable for the twelve months before the claim, or where no fees are payable, to one thousand US dollars. Nothing here limits liability that cannot lawfully be limited, including for fraud.

12. Confidentiality

Each party will protect the other’s non-public information with at least the care it applies to its own, and use it only to perform under this agreement.

13. Changes to these terms

We may update these terms. Material changes will be notified to active customers with a reasonable period before they take effect, and the effective date above will change.

14. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the state and federal courts located in Dallas County, Texas have exclusive jurisdiction.
